OVERVIEW

This website and online store are operated by MedServ Marketplace Inc. (“MedServ”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”).

Our Services include:

  • Sale of medical equipment parts and accessories

  • Coordination of non-clinical equipment services including installation, preventive maintenance, calibration, and repair

  • Scheduling and fulfillment of services through a managed network of certified technicians

By using our Services, you agree to be bound by these Terms and our Privacy Policy.

 

SECTION 1 – ELIGIBILITY & USE

You represent that:

  • You are at least 18 years old

  • You are acting on behalf of a business, healthcare provider, or organization

  • All information provided is accurate and complete

You are responsible for:

  • Maintaining account security

  • All activity under your account

 

SECTION 2 – NATURE OF SERVICES (IMPORTANT)

MedServ provides non-clinical equipment services only.

We:

  • Coordinate and facilitate equipment service delivery

  • Engage certified biomedical technicians (BMETs/FSEs)

  • Provide documentation and service reports

We do NOT:

  • Provide medical care or clinical services

  • Diagnose or treat patients

  • Assume responsibility for clinical outcomes

 

SECTION 3 – SERVICE FULFILLMENT MODEL

Services are:

  • Scheduled based on availability and scope

  • Performed by independent or contracted technicians within our network

  • Coordinated and quality-checked by MedServ

You acknowledge that:

  • Service timing is estimated, not guaranteed

  • Access, site readiness, and equipment condition impact delivery

 

SECTION 4 – ORDERS & ACCEPTANCE

All orders (products or services):

  • Are subject to acceptance by MedServ

  • Are confirmed only after payment is processed

  • May be modified or declined at our discretion

Service orders may require:

  • Additional confirmation

  • Scope validation

  • Scheduling coordination

 

SECTION 5 – PRICING & PAYMENTS

  • All prices are in USD

  • Taxes, shipping, and service fees may apply

  • Payment is processed via Shopify Payments / Stripe

You agree:

  • To provide accurate billing information

  • To pay all charges incurred

 

SECTION 6 – PARTS, SHIPPING & RISK

  • Product availability is not guaranteed

  • Shipping timelines are estimates

  • Risk transfers upon delivery to carrier

MedServ is not responsible for:

  • Carrier delays

  • Damaged shipments after transfer

 

SECTION 7 – SERVICE LIMITATIONS & DISCLAIMERS

MedServ does not guarantee:

  • Equipment uptime

  • Repair success

  • Compatibility with all systems

Services are provided based on:

  • Available information

  • Site conditions

  • Manufacturer limitations

 

SECTION 8 – THIRD-PARTY TECHNICIANS

Services may be performed by:

  • Independent contractors

  • Partner service organizations

MedServ:

  • Screens and manages service quality

  • Does not employ all technicians directly

You agree that:

  • Technicians act as service providers within a managed network

  • MedServ coordinates but does not manufacture or own equipment

 

SECTION 9 – RELATIONSHIP WITH SHOPIFY

This store is powered by Shopify.

All transactions are between:

You and MedServ Marketplace Inc.

Shopify is not responsible for:

  • Products

  • Services

  • Fulfillment

  • Disputes

 

SECTION 10 – INTELLECTUAL PROPERTY

All content, branding, and materials are owned by MedServ or its licensors.

You may not:

  • Copy

  • Reproduce

  • Distribute

Without written consent.

 

SECTION 11 – PROHIBITED USE

You may not:

  • Use the Services unlawfully

  • Attempt to disrupt or hack systems

  • Misrepresent service needs or equipment

We may suspend access for violations.

 

SECTION 12 – DISCLAIMER OF WARRANTIES

All Services are provided:

“AS IS” and “AS AVAILABLE”

We disclaim all warranties including:

  • Merchantability

  • Fitness for a particular purpose

  • Service guarantees

 

SECTION 13 – LIMITATION OF LIABILITY

To the fullest extent permitted by law:

MedServ is not liable for:

  • Indirect or consequential damages

  • Loss of revenue or downtime

  • Equipment failure outcomes

Total liability is limited to:

Amount paid in the last 6 months

 

SECTION 14 – INDEMNIFICATION

You agree to indemnify MedServ against claims arising from:

  • Misuse of Services

  • Incorrect information provided

  • Violation of laws or third-party rights

 

SECTION 15 – GOVERNING LAW

These Terms are governed by:

State of Washington, USA

Jurisdiction:

King County, Washington

 

SECTION 16 – DISPUTE RESOLUTION

We encourage good faith resolution first.

If unresolved:

Binding arbitration under AAA rules.

 

SECTION 17 – TERMINATION

We may suspend or terminate access:

  • At any time

  • For violations of these Terms

 

SECTION 18 – CHANGES TO TERMS

We may update these Terms periodically.
